Eastmoney Information Co., Ltd. held the second meeting of the seventh board of directors on March 18, 2026, approving several important proposals. The company’s profit distribution plan for 2025 shows that, based on a total share capital of 15.804 billion shares, a cash dividend of 1.00 yuan (tax included) will be paid for every 10 shares to all shareholders, with an estimated total payout of approximately 1.58 billion yuan. At the same time, the board approved the “Company’s Dividend Policy Plan for the Next Three Years (2026-2028),” clarifying the dividend policy for the coming three years.

To support business development, the board agreed to provide guarantees for the bank credit and loans applied for by its wholly-owned subsidiary Shanghai Tiantian Fund Sales Co., Ltd. in 2026, with a maximum guarantee limit of no more than 20 billion yuan. This matter still needs to be submitted for shareholder approval. Additionally, the meeting approved the “2025 Annual Report and Summary,” “2025 Internal Control Self-Assessment Report,” and “2025 Sustainable Development Report,” and agreed to renew Ernst & Young Hua Ming Certified Public Accountants as the company’s audit firm for 2026.

Regarding executive compensation, the board reviewed the 2025 salary assessment results and the 2026 compensation plan for directors and senior management. Due to related-party interests, this proposal will be directly submitted to the shareholders’ meeting for approval. Also to be submitted for shareholder approval is the “Proposal on Estimated Related-Party Transactions for the Company in 2026.”

The company is scheduled to hold the 2025 Annual Shareholders’ Meeting on April 10, 2026, to review the above proposals requiring shareholder approval. This board resolution reflects the company’s ongoing efforts in shareholder returns, supporting subsidiary operations, and improving corporate governance.
